Comply and Perform. Every director, officer, agent, attorney, accountant and employee is required to comply with HD Faculty instrument, by-laws, rules and regulations.

HD Faculty, from time to time, requires that every director, officer, agent, attorney, accountant, and employee of HD Faculty in exercising his or her powers and discharging his or her duties, shall act honestly and in good faith for the best interest of HD Faculty and its stakeholders, and exercise the care, diligence, and skill of a reasonable prudent person.
