Remuneration. The presiding directors of HD Faculty may fix the remuneration of directors, officers, employees, and agents. However, no remuneration will be paid to a director, as a director, unless Special Resolution first confirms it. |

Remuneration Disclosure. HD Faculty believes that full disclosure of current remuneration packages should be disaggregate and should include commercially sensitive terms. The presiding management is required to ensure that there is a detailed breakdown of a director and officer's service agreement, which includes the following minimum items: |

remuneration (including bonuses and similar payments); |
• |
duration; |
• |
benefits; |
• |
pension arrangements; and |
• |
termination conditions. |

Irrespective of the director and officer’s remuneration, HD Faculty is of the opinion that the set requirements should apply to previous directors and officers in the same way as they apply to presiding directors and officers; whereby a director or officer resigns and receives a payment without prior shareholders approval. |
