Signatories. HD Faculty, by resolution, permits any of the following two (2) presiding directors and/or officers that are duly appointed and authorized to sign on behalf of HD Faculty during their administration:

a.

the Chief Executive Officer (“CEO”) and/or Managing Director, plus anyone of the officers identified in paragraph (b), below;

b.

President, Executive Vice President, Chief Financial Officer (“CFO”) Treasurer or Secretary; or

c.

any two (2) duly authorized directors may sign on behalf of the Board (other than the aforementioned officers identified in paragraph (b), above, of HD Faculty).
